END USER LICENSE AGREEMENT

This End User License Agreement (this "EULA" or this "Agreement") is effective upon your use of Accredited.Net (the "Software"). By accessing or using the Software, you agree with and accept all terms of this Agreement. This Agreement is enforceable against you and any legal entity that obtained the Software and on whose behalf it is used. If you do not agree with every term of this Agreement, do not install, copy, or use the Software.
  1. Software License
    1. The Software was licensed by Accredited.Net LLC to FDCPA Certifications (the "Licensor"), which is hereby exercising its right to grant you a limited, revocable, non-transferrable, non-exclusive license, with no right to sub-license, resell, or distribute the Software or any component of the Software. You understand and acknowledge that the Software's original licensor and licensee retain all rights not expressly granted to you in this Agreement.
    2. You agree to not reverse engineer, decompile, or disassemble the Software, and you further agree that you will not use the Software to cause personal and/or property damage to any third person or entity.
  2. Intellectual Property
    1. The Software is intellectual property of and owned by Accredited.Net LLC. The structure, organization, and code of the Software are the valuable trade secrets and confidential information of Accredited.Net LLC and its suppliers and contractors. The Software is protected by law, including, but not limited to, the copyright laws of the United States of America and other countries, and by international treaty provisions. Unless expressly stated herein, this license does not grant you any intellectual property rights in the Software and all rights not expressly granted are reserved by Accredited.Net LLC.
    2. Right, title, and interest in any content displayed through the Software belongs to the individual content owner. The content may be protected by copyright or other intellectual property laws and treaties, and may be subject to terms of use of the third party providing such content. Except as otherwise provided in this License, this License does not grant you any rights to use such content nor does it guarantee that such content will continue to be available to you.
  3. Your Use of the Services
    1. In order to access and/or continue to use certain services accessible via the Software (the "Services"), you may be required to register and provide certain information about yourself. You agree that any registration information you provide will always be accurate, correct, and up to date. The Software uses the information you provide in order to personalize your experience.
    2. You agree to use the Services only for purposes that are permitted by (a) this EULA and (b) any applicable law, regulation, or generally accepted practices or guidelines in the relevant jurisdictions (including any laws regarding the export of data or software to and from the United States or other relevant countries).
    3. You agree not to access (or attempt to access) any of the Services by any means other than through the interface that is provided by FDCPA Certifications. You specifically agree not to access (or attempt to access) any of the Services through any automated means other than as expressly provided in an agreement authorized by Accredited.Net LLC.
    4. You agree that you will not engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services), or other users' use and enjoyment of the Services.
  4. Your Account Security
    1. You agree and understand that you are responsible for maintaining the confidentiality of passwords associated with any account you use to access the Services.
    2. You agree that you will be solely responsible to Accredited.Net LLC for all activities that occur under your account.
    3. If you become aware of any unauthorized use of your password or of your account, you agree to immediately notify Accredited.Net LLC.
  5. Content in the Services
    1. You understand and agree that all content which you may have access to as part of, or through your use of, the Services (the "Content") is the sole responsibility of the person or entity from which such content originated. Accredited.Net LLC expressly disclaims any and all responsibility for such content.
    2. You understand and agree that Content presented to you as part of the Services may be protected by intellectual property rights which are owned by the user who provide that Content to Accredited.Net LLC (or by other persons or companies on their behalf). You may not modify, rent, lease, loan, sell, distribute or create derivative works based on this Content (either in whole or in part) unless you have been specifically told that you may do so by Accredited.Net LLC or by the owners of that Content, in a separate agreement.
    3. By using the Services you may be exposed to Content that you may find offensive, indecent, or objectionable and that, in this respect, you use the Services at your own risk.
    4. You agree that you are solely responsible for (and that Accredited.Net LLC has no responsibility to you or to any third party for) any Content that you create, transmit or display while using the Services and for the consequences of your actions (including any loss or damage which FDCPA Certifications may suffer) by doing so.
  6. Restrictions and Requirements
    1. You agree that you will not use the Software other than as permitted by this EULA and that you will not use the Software in a manner inconsistent with its design or documentation.
    2. Except as specifically stated elsewhere in this EULA, you may not modify, adapt, or translate the Software.
    3. You will not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Software, or otherwise reduce the Software to a human-perceivable form, except to the extent you may be expressly permitted under applicable law to decompile only in order to achieve interoperability with the Software.
    4. You may not unbundle or repackage the Software for distribution, transfer, or resale.
    5. YOU WILL NOT RENT, LEASE, SELL, SUBLICENSE, ASSIGN, OR TRANSFER YOUR RIGHTS IN THE SOFTWARE, OR AUTHORIZE ANY PORTION OF THE SOFTWARE TO BE COPIED ONTO ANOTHER INDIVIDUAL'S OR ENTITY'S DEVICE EXCEPT AS MAY BE EXPRESSLY PERMITTED HEREIN.
    6. You understand and agree that the Software is dependent upon external factors beyond Accredited.Net's control, including, but not limited to, internet connectivity, cellular or mobile connectivity, and interference with internet and/or cellular or mobile connectivity, and that the Software may not function properly without users' access to the internet or mobile data. Under no circumstances will Accredited.Net LLC be responsible for any losses of any kind as a result of one or more users not being able to use the Software due to a lack of internet, cellular, or mobile connectivity.
  7. No Warranty

    YOUR USE OF ACCREDITED.NET AND CONTENT AND SERVICES ACCESSIBLE THROUGH ACCREDITED.NET IS ENTIRELY AT YOUR OWN RISK. EXCEPT AS DESCRIBED IN THIS AGREEMENT, THE SOFTWARE IS PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACCREDITED.NET LLC, ITS AFFILIATES, AND ANY THIRD PARTY SERVICE OR DATA PROVIDERS, LICENSORS, DISTRIBUTORS OR SUPPLIERS (COLLECTIVELY REFERRED TO AS "SUPPLIERS") DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY THAT THE SOFTWARE IS FIT FOR A PARTICULAR PURPOSE, TITLE, MERCHANTABILITY, DATA LOSS, NON-INTERFERENCE WITH OR NON-INFRINGEMENT OF ANY INTELLECTUAL PROPERTY RIGHTS, OR THE ACCURACY, RELIABILITY, QUALITY, OR CONTENT IN OR LINKED TO THE SOFTWARE. ACCREDITED.NET AND ITS AFFILIATES AND SUPPLIERS DO NOT WARRANT THAT THE SOFTWARE IS SECURE, FREE FROM BUGS, VIRUSES, INTERRUPTION, ERRORS, THEFT OR DESTRUCTION. FURTHER, ACCREDITED.NET LLC DOES NOT WARRANT ACCESS TO THE INTERNET OR TO ANY OTHER SERVICE, CONTENT, OR DATA TRANSMITTED THROUGH THE SOFTWARE. IF THE EXCLUSIONS FOR IMPLIED WARRANTIES DO NOT APPLY TO YOU, ANY IMPLIED WARRANTIES ARE LIMITED TO 30 DAYS FROM THE DATE OF DELIVERY OF THE SERVICES AND YOUR EXCLUSIVE REMEDY FOR ANY CLAIM IS SET FORTH IN SECTION 9 BELOW. YOU MAY HAVE ADDITIONAL RIGHTS UNDER LAW WHICH VARY FROM JURISDICTION TO JURISDICTION. ACCREDITED.NET LLC DOES NOT SEEK TO LIMIT YOUR WARRANTY RIGHTS TO ANY EXTENT NOT PERMITTED BY LAW.

  8. Disclaimer

    ACCREDITED.NET LLC, ITS AFFILIATES, SUPPLIERS, AND ANY AFFILIATES OR OTHER RELATED ENTITIES DISCLAIM ALL WARRANTIES, CONDITIONS, REPRESENTATIONS, AND TERMS, EXPRESS OR IMPLIED, WHETHER BY STATUTE, COMMON LAW, CUSTOM, USAGE, OR OTHERWISE AS TO ANY MATTER, INCLUDING BUT NOT LIMITED TO PERFORMANCE, SECURITY, NON- INFRINGEMENT OF THIRD PARTY RIGHTS, INTEGRATION, MERCHANTABILITY, QUIET ENJOYMENT, SATISFACTORY QUALITY, AND FITNESS FOR ANY PARTICULAR PURPOSE. OTHER THAN SUCH OFFERED AND STATUTORY WARRANTIES AND REMEDIES, ACCREDITED.NET LLC AND ITS AFFILIATES AND RELATED ENTITIES PROVIDE SOFTWARE AND SERVICES AS-IS AND WITH ALL FAULTS. THIS DISCLAIMER OF WARRANTY MAY NOT BE VALID IN SOME STATES. YOU MAY HAVE ADDITIONAL WARRANTY RIGHTS UNDER LAW WHICH MAY NOT BE WAIVED OR DISCLAIMED. ACCREDITED.NET LLC DOES NOT SEEK TO LIMIT YOUR WARRANTY RIGHTS TO ANY EXTENT NOT PERMITTED BY LAW. ANY PROVISIONS THE WARRANTIES AND DISCLAIMER WHICH SURVIVE THE TERMINATION OF THIS AGREEMENT DO NOT IMPLY OR CREATE ANY CONTINUED RIGHT TO USE THE SOFTWARE OR SERVICES AFTER TERMINATION OF THIS AGREEMENT.

  9. Limitation of Liability

    EXCEPT FOR THE EXCLUSIVE REMEDY OFFERED BY ACCREDITED.NET ABOVE AND ANY REMEDIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER LAW, ACCREDITED.NET, ITS AFFILIATES, SUPPLIERS, AND RELATED ENTITIES WILL NOT BE LIABLE TO YOU OR ANY PERSON OR ENTITY CLAIMING THROUGH YOU, OR ANY USER WHO OBTAINS ACCREDITED.NET LLC AS A RESULT OF A RELATIONSHIP OF ANY TYPE WITH YOU, FOR ANY LOSS, DAMAGES, CLAIMS, OR COSTS WHATSOEVER INCLUDING ANY CONSEQUENTIAL, INDIRECT, OR INCIDENTAL DAMAGES, ANY LOST PROFITS OR LOST SAVINGS, ANY DAMAGES RESULTING FROM PERSONAL INJURY OR FAILURE TO MEET ANY DUTY OF CARE, OR CLAIMS BY A THIRD PARTY, EVEN IF AN ACCREDITED.NET LLC REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS, DAMAGES, CLAIMS, OR COSTS. IN ANY EVENT, ACCREDITED.NET LLC'S AGGREGATE LIABILITY AND THAT OF ITS AFFILIATES, SUPPLIERS, AND RELATED ENTITIES UNDER OR IN CONNECTION WITH THIS AGREEMENT WILL BE LIMITED TO THE AMOUNT PAID TO ACCREDITED.NET FOR THE SERVICE USED BY YOU OVER THE TWELVE (12) MONTHS PRIOR TO THE DATE YOU NOTIFY ACCREDITED.NET OF THE CLAIM. THIS LIMITATION WILL APPLY EVEN IN THE EVENT OF A FUNDAMENTAL OR MATERIAL BREACH OR A BREACH OF THE FUNDAMENTAL OR MATERIAL TERMS OF THIS AGREEMENT. ACCREDITED.NET LLC IS ACTING ON BEHALF OF ITS AFFILIATES, SUPPLIERS, AND RELATED ENTITIES FOR THE PURPOSE OF DISCLAIMING, EXCLUDING, AND LIMITING OBLIGATIONS, WARRANTIES, AND LIABILITY, BUT IN NO OTHER RESPECTS AND FOR NO OTHER PURPOSE. THE FOREGOING LIMITATIONS AND EXCLUSIONS APPLY TO THE EXTENT PERMITTED BY APPLICABLE LAW IN YOUR JURISDICTION. THIS LIMITATION OF LIABILITY MAY NOT BE VALID IN SOME STATES. YOU MAY HAVE RIGHTS THAT CANNOT BE WAIVED UNDER CONSUMER PROTECTION AND OTHER LAWS. ACCREDITED.NET LLC DOES NOT SEEK TO LIMIT YOUR WARRANTY OR REMEDIES TO ANY EXTENT NOT PERMITTED BY LAW.

  10. Indemnification

    You agree to indemnify and hold Accredited.Net LLC and its affiliates and suppliers harmless from any and all claims, liability, and expenses, including actual attorneys' fees and costs, arising out of your use of the Software, another's use of this Software in collaboration with you, or a breach of this Agreement (collectively referred to as "Claims"). Accredited.Net LLC reserves the right, in its sole discretion and at its own expense, to assume the exclusive defense and control of any Claims. You agree to reasonably cooperate as requested by Accredited.Net LLC in the defense of any Claims, and to reimburse Accredited.Net LLC all costs of defending any such Claims.

  11. Law & Jurisdiction

    This Agreement is governed by the laws of the State of Michigan without giving effect to principles of conflicts of law, and any disputes arising out of this Agreement shall be litigated in a court of competent jurisdiction sitting in Kent County, Michigan. All Parties to this Agreement consent to the jurisdiction of such a court. This agreement will not be governed by the conflict of law rules of any jurisdiction or the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.

  12. Privacy
    1. The Software may cause your Computer to connect to the Internet and to communicate with Accredited.Net for purposes that may include providing you with additional information, features, and functionality.
    2. When the Software connects to the Internet, an Internet protocol address ("IP Address") that is associated with your current Internet connection is sent to Accredited.Net LLC.
    3. When the Software is configured, you may be required provide a Username and Password associated with your account.
    4. When the Software connects to the Internet, personally identifiable information may be sent over the Internet; and
    5. Whenever the Software makes an Internet connection and communicates with Accredited.Net , the Accredited.Net Privacy Policy shall apply. Please note that the Privacy Policy allows tracking of website visits.In addition, you understand and agree that Accredited.Net and the Licensor may use any personal information you provide to Accredited.Net for any purpose necessary in order for the Services to function as determined by Accredited.Net LLC in its sole discretion.
  13. Miscellaneous.
    1. This Agreement sets forth the entire agreement and understanding of the Parties, and any and all prior agreements, representations, or promises concerning the subject matter of this Agreement are superseded by and/or merged into this Agreement. The Parties agree they have not relied on any verbal statements that are not included in this Agreement. Any modifications to this Agreement must be in writing, must reference this Agreement, and must be contained in a written instrument signed by each Party to this Agreement.
    2. The Limited Warranty, Disclaimer, Exclusive Remedies, and Limited Liability set forth above are fundamental elements of the basis of the agreement between you and Accredited.Net LLC. Accredited.Net LLC would not be able to provide the Software and Services on an economic basis without such limitations. Such Limited Warranty, Disclaimer, Exclusive Remedies, and Limited Liability inure to the benefit of Accredited.Net LLC's licensees and sublicensees.
    3. The failure or delay of Accredited.Net LLC to exercise any of its rights under this Agreement or upon any breach of this Agreement shall not be deemed a waiver of those rights or of the breach.
    4. No Accredited.Net LLC licensee, distributor, dealer, agent, or employee is authorized to make any amendment to this Agreement. Any amendment to this Agreement must be in writing and signed by a duly authorized representative of Accredited.Net LLC.
    5. If any provision of this Agreement shall be held by a court of competent jurisdiction to be unenforceable and/or contrary to law, that provision will be enforced to the maximum extent permissible, and the remaining provisions of this Agreement will remain in full force and effect.
    6. Accredited.Net LLC reserves the right to terminate this Agreement at any time, without prejudice to any of its other rights, if you fail to comply with the terms and conditions set forth in this Agreement. In the event of such termination, you agree to destroy all copies of the Software, and any and all of its component parts. By using the Software, you acknowledge that (i) you have had sufficient opportunity to, and have, carefully read each provision of this EULA; (ii) you understand each provision; (iii) you are not under any duress; (iv) you are not relying upon any representations or promises that are not set forth in this EULA; and (v) you are freely and voluntarily entering into this EULA as if it were a signed contract you and you intend to be bound by it as a solemn contractual undertaking.

By using the Software, you acknowledge that (i) you have had sufficient opportunity to, and have, carefully read each provision of this EULA; (ii) you understand each provision; (iii) you are not under any duress; (iv) you are not relying upon any representations or promises that are not set forth in this EULA; and (v) you are freely and voluntarily entering into this EULA as if it were a signed contract you and you intend to be bound by it as a solemn contractual undertaking.
